End User License Agreement

1. Scope

This End User License Agreement (“EULA”) is a contract between you (the individual or legal entity accepting it) and Rendarium for the Rendarium self-hosted software, in every form in which Rendarium delivers it, including container images, .NET libraries and NuGet packages, native binaries, command-line tools, client libraries and SDKs for any platform, together with all updates, documentation and license keys (collectively, the “Software”). The Software is the same rendering and document-processing engine and the same API regardless of packaging; the rights and restrictions in this EULA apply equally to every form and to any form Rendarium may deliver in the future. By installing, copying, referencing, linking or running the Software with a license key you accept this EULA. The hosted API is governed by the Terms of Service.

2. License grant

Subject to payment and to this EULA, Rendarium grants you a non-exclusive, non-transferable, perpetual license to install and run the Software, in the edition you purchased: Developer — one named developer may develop with the Software; deployment inside your organization is unlimited. Company — any number of developers employed by one legal entity; deployment inside that entity is unlimited. Company Redistribution — Company rights plus the right to distribute applications that embed the Software to third parties, activated with your license key, royalty-free.

3. Versions and updates

The Software uses calendar versioning (year.month.patch). Your license key states a horizon (year.month). Every release whose year.month is at or before the horizon is licensed to you perpetually. Releases published after the horizon require a renewal that extends the horizon by 12 months. Failure to renew never revokes releases you are already entitled to.

4. Demo mode

Without a license key the Software, in any form, runs in demo mode and marks generated documents with a watermark. Demo mode may be used without charge for evaluation and internal testing, not for production output to end users.

5. Restrictions

Unless expressly permitted by this EULA, you may not: remove or bypass the license mechanism or watermark; share a license key outside the licensed entity (or, for Company Redistribution, outside the applications you distribute); copy, modify or redistribute the Software except as permitted by your edition; sublicense, rent, lease, lend or transfer the Software; reverse engineer, decompile or disassemble the Software except as permitted by law; create derivative works of the Software, for personal or commercial use, that compete with the Software or with Rendarium’s hosted service; or use a Developer license for more than one developer.

5.1 Permitted use

You may use the Software to generate, convert and process documents within your own applications, including on behalf of your end users and customers, where document generation, conversion or rendering is a feature of your application rather than its primary purpose.

5.2 Standalone service and re-exposure restriction

Regardless of edition, you may not make the Software’s conversion, rendering or document-processing functionality available to third parties, whether: (a) as a standalone service, hosted API, software-as-a-service or similar offering whose primary purpose is to provide that functionality (for example, a general-purpose “HTML to PDF” or “document conversion” API); (b) as a library, SDK, component, plugin, container image or other redistributable product that wraps, embeds, proxies or re-exposes the Software and whose primary purpose is to provide that functionality; or (c) by hosting, operating or offering the Software itself, or any substantially similar service built on it, for the benefit of third parties; without Rendarium’s prior written permission. This restriction applies whether or not the Software itself is distributed, whether the functionality is exposed directly or through an intermediate layer, whether the offering is provided for a fee or free of charge, and whether the offering is presented under your name or another’s.

6. Redistribution terms (Company Redistribution only)

You may embed the Software in your own applications and distribute them to your customers, on-premises or in their clouds, provided each such application complies with Section 5.1. Your customers may run the Software only as part of your application and may not use it for any other purpose, including any use prohibited by Section 5.2. You remain responsible for your customers’ compliance with this EULA. The redistribution right does not permit you or your customers to expose the Software’s API, or its functionality, directly or indirectly as a standalone product or service.

7. Ownership

The Software is licensed, not sold. Rendarium and its licensors retain all rights, title and interest, including all intellectual property rights.

8. Warranty and liability

The Software is provided “as is”. Rendarium warrants for 30 days from purchase that the Software substantially performs as documented; the sole remedy is repair, replacement or refund under the Refund Policy. To the maximum extent permitted by law, Rendarium’s aggregate liability is limited to the license fees paid in the preceding twelve months and excludes indirect, incidental or consequential damages.

9. Termination

This EULA terminates automatically if you materially breach it and do not cure the breach within 30 days of notice. Upon termination you must stop using the Software and destroy all copies; the perpetual nature of the license does not survive termination for breach.

10. General

This EULA is the entire agreement about the Software and supersedes prior communications. It is governed by the laws of the country in which Rendarium is established; disputes are subject to the courts of that jurisdiction. If any provision is unenforceable the remainder stays in effect.
